1. Legal information and purpose
These Terms and Conditions govern the relationship between ARDESYS (hereinafter "Muziplay"), a French-registered limited liability company (SARL) with share capital of EUR 1,000, registered in France and operating in the United Kingdom, with its registered office at 7 Allee de la Solidarite, 93190 LIVRY GARGAN, France, and the Student wishing to use the services of the Muziplay platform.
Muziplay is a technical intermediary connecting Students and Teachers. The teaching contract is concluded directly between the Student and the Teacher. These Terms and Conditions are drafted in accordance with the Consumer Rights Act 2015 and applicable UK consumer protection legislation.

2. Services offered
The Muziplay platform offers the following services:
- Individual lessons: live one-to-one music lessons via video conference between a Student and a Teacher.
- Masterclasses: live group classes (video) led by one or more Teachers, with multiple Students participating simultaneously.
- Training projects: online learning pathways comprising modules, multimedia content and assessments (quizzes).
- Shared documents: file-sharing space for educational materials (sheet music, recordings, audio stems) between Teachers and Students.
- AI teaching assistant: intelligent chatbot to support learning.
- Internal messaging: direct communication between Students and Teachers via the platform.
- Learning goals: personalised tracking of objectives set in consultation with the Teacher.
3. Registration and access
Registration on the platform is free. The Student must provide accurate and up-to-date information.
Minors: Students under the age of 18 must obtain prior consent from their parent or legal guardian to register and use the platform. The parent or legal guardian is responsible for the minor's use of the service and jointly agrees to comply with these Terms and Conditions. Payment for lessons must be made by the parent or legal guardian, or with their explicit consent.
Safeguarding (DBS Check): All teachers providing lessons to students under 18 in the United Kingdom are required to hold a valid enhanced DBS (Disclosure and Barring Service) check. Muziplay verifies this as part of the teacher onboarding process.
Account: The Student is responsible for the confidentiality of their login credentials. Any use of their account is presumed to have been made by the account holder.
4. Pricing and payment
Prices are displayed in British Pounds (£) inclusive of VAT where applicable.
4.1. Individual lessons
Prices for individual lessons are set freely by the Teachers. They are displayed in £ (GBP) inclusive of VAT where applicable. Payment is made by credit or debit card via a secure payment provider (Stripe). The Student accepts that Muziplay collects funds on behalf of the Teacher. A card pre-authorisation may be requested at the time of booking; the payment is captured after the lesson has taken place.
4.2. Masterclasses
The price of each masterclass is set by the organising Teacher. Payment is due upon registration and is made by credit or debit card via Stripe.
4.3. Training projects
The price of each training project is set by the creating Teacher. Payment is due at the time of purchase and grants unlimited access to the entire project content.
4.4. Discount vouchers and promotions
Muziplay or Teachers may offer discount vouchers. These vouchers may be personal, general or offer a free first lesson. They are subject to the conditions of use specified at the time of issue and are neither exchangeable nor refundable.
4.5. Invoices
Invoices are issued by Muziplay on behalf of the Teacher. They are accessible in the Student's personal area and can be downloaded in PDF format.
5. Booking and lesson delivery
The Student is responsible for having a sufficient internet connection and suitable equipment (webcam, microphone).
Booking: The Student books a time slot from the availability offered by the Teacher. The booking is confirmed after payment validation or card pre-authorisation.
Lateness: Any lateness by the Student is deducted from the lesson duration. If the Teacher is more than 15 minutes late, the lesson is cancelled and refunded.
6. Cancellation and refund policy
6.1. Individual lessons

Cancellation more than 24 hours before: Full refund or free rescheduling.

Cancellation less than 24 hours before: The full lesson fee is due to the Teacher. No refund, except in justified cases of force majeure.

Teacher no-show: Full refund.
6.2. Masterclasses
Registration for a masterclass is firm and final. No refund is possible once registration is confirmed, except in the event of cancellation of the masterclass by the Teacher or the platform, in which case a full refund will be issued.
6.3. Training projects
As training projects are digital content accessible immediately after purchase, no refund is possible after purchase in accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, except in cases of proven defect in the content.
7. Right of cancellation
In accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the Student has a 14-day cooling-off period from the date of purchase to exercise their right of cancellation.
How to exercise your right:
To cancel, you must inform Muziplay of your decision by a clear written statement (e.g. email to contact@muziplay.com) before the expiry of the 14-day period. The cancellation period expires 14 days from the day the contract was entered into.
Refund:
If the Student exercises their right of cancellation, Muziplay will reimburse all payments received within fourteen (14) days of receiving the cancellation notice, using the same payment method as the original transaction, unless the Student expressly agrees otherwise. No fee will be charged for such reimbursement.
Exceptions:
- Individual lessons: If the Student books and completes a lesson before the end of the 14-day period, they expressly waive their right of cancellation for the service consumed. By booking a lesson within the cooling-off period, the Student gives explicit consent for the service to begin and acknowledges that the right of cancellation is lost upon completion.
- Masterclasses: If the masterclass takes place before the end of the 14-day period and the Student participates, the right of cancellation is extinguished for that service.
- Training projects: The Student acknowledges that immediate access to digital content constitutes a waiver of their right of cancellation under the Consumer Contracts Regulations 2013. The Student is informed and gives their express consent before purchase. This is in accordance with Regulation 37 of the Consumer Contracts Regulations 2013.
8. Masterclasses — Specific conditions
8.1. Participation
Participation in a masterclass requires a stable internet connection and compatible equipment. The masterclass takes place live via a video conferencing system integrated into the platform.
8.2. Recordings (Replays)
Masterclasses may be recorded by the Teacher. Recordings are accessible to registered participants for a period of 90 days from the date of the masterclass. After this period, access to the replay is removed.
8.3. Number of participants
The number of participants in a masterclass may be limited by the Teacher. Registration is validated on a first-come, first-served basis based on receipt of payment.
8.4. Cancellation and non-delivery of masterclass
A masterclass may not take place in the following circumstances:

Cancellation by the Teacher: If the Teacher cancels the masterclass for any reason, all registered participants who have paid will be refunded in full within 14 working days of the cancellation. The refund is made to the payment method used at the time of registration.

Cancellation by the platform: Muziplay reserves the right to cancel a masterclass for technical, moderation or security reasons. Participants are refunded in full under the same conditions.

Minimum number not reached: The Teacher may set a minimum number of participants. If this threshold is not reached 24 hours before the scheduled date, the masterclass may be cancelled and participants are refunded in full.

Force majeure: In the event of force majeure preventing the masterclass from taking place, Muziplay offers the Student the choice of a full refund or rescheduling to a later date communicated as soon as possible.
8.5. Interruption during a masterclass
If a masterclass is interrupted before completion for technical reasons attributable to the platform or the Teacher:
- Less than 50% delivered: full refund or, at the Student's choice, rescheduling.
- 50% or more delivered: no refund, but the Teacher will endeavour to provide the missing content.
- Interruption due to the Student: no refund. The Student retains access to the replay if the masterclass was recorded.
8.6. Notification
In the event of cancellation, registered participants are notified by email and/or by notification on the platform as soon as possible. The refund is initiated automatically without any action required from the Student.
9. Training projects — Specific conditions
9.1. Content
Training projects comprise modules made up of educational content (videos, texts, files) and assessments (quizzes). The content is defined by the creating Teacher.
9.2. Access
After purchase, the Student has unlimited access to the training project content, subject to platform availability. Progress is recorded automatically.
9.3. Content updates
The Teacher may update the content of a training project. Updates are available free of charge to Students who have already purchased the project.
10. Personal data and Artificial Intelligence
10.1. Lesson summaries (AI)
Muziplay advantage: Thanks to proprietary technology, the Student may receive after each individual lesson a lesson summary (overview, topics covered, practice suggestions). This feature enhances follow-up and progress tracking.
To benefit from this, the Student accepts that lesson sessions (video/audio) are processed securely by pedagogical analysis tools. The data is used solely to generate these summaries and suggestions, within the scope of the service.
The Student may refuse or disable this option at any time in their account settings. In that case, no automatic summary will be generated. The use of their voice and image remains strictly limited to this purpose and to the provision of the service.
10.2. AI teaching assistant (Chatbot)
The AI assistant is a learning support tool. Conversations with the assistant are not retained beyond the current session. No conversation data is used to train third-party models.
10.3. Personal data protection
The Student's personal data is processed in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. For further details, the Student is invited to consult the Privacy Policy.
Student's rights: The Student has the right of access, rectification, erasure, restriction of processing, data portability and objection, which may be exercised by contacting Muziplay via the contact form or by post.
11. Shared documents and intellectual property
11.1. File sharing
The platform allows the sharing of educational files between Teachers and Students (sheet music, recordings, audio stems, etc.).
11.2. Content responsibility
The user who uploads a file is solely responsible for its content and warrants that they hold all necessary rights (copyright, related rights) to share it. Muziplay does not carry out prior verification of shared content.
11.3. Use
Shared files are intended for strictly educational and personal use. Any reproduction, distribution or commercial use is prohibited without the express consent of the rights holder.
12. Internal messaging and conduct
The Student agrees to use the internal messaging system and the platform in a respectful and courteous manner. The following are prohibited:
- Abusive, defamatory or discriminatory language, harassment, and any content contrary to public decency or the law.
- Sending spam or unsolicited messages of a commercial nature.
- Impersonation or creating accounts under a false identity.
- Any attempt to circumvent the platform's security systems or functionality.
- Using the platform for commercial purposes unrelated to music lesson services.
- Publishing false or misleading information in profiles or communications.
The Student may leave a review of the Teacher. Muziplay reserves the right to remove any review or message that is abusive, defamatory or contrary to these Terms and Conditions. Any breach of these rules may result in suspension or termination of the User's account.
13. Ratings and quality
After each lesson or masterclass, the Student may be invited to rate the quality of the session (including video quality). These ratings are anonymous and are used to improve the service.
Reviews published by Students are moderated by Muziplay for compliance with these Terms and Conditions. A genuine review will not be removed at the sole request of the Teacher simply because they disagree with its content. However, any review that is abusive, defamatory, fraudulent or contrary to these terms may be removed by Muziplay.
14. Non-circumvention
The Student is prohibited from offering the Teacher a direct payment (outside the platform) to bypass service fees, on penalty of account suspension and a fixed penalty of £1,000 payable to Muziplay.
15. Evidence agreement
The electronic acceptance of these Terms and Conditions has the same evidential value as acceptance on paper. Muziplay's computerised records (logs, timestamps) shall constitute evidence between the parties.
16. Force majeure and liability
Muziplay shall not be held liable in cases of force majeure (e.g. general network failure, natural disaster, pandemic, government decision, act of terrorism, armed conflict, general strike) or for issues related to the quality of teaching, the User's equipment or their internet connection.
The party affected by a force majeure event must notify the other party as soon as reasonably practicable, specifying the nature, estimated duration and anticipated impact on performance. The affected party shall use all reasonable efforts to mitigate the effects and resume performance as soon as possible. If a force majeure event continues for more than sixty (60) days, either party may terminate these terms by written notice, without liability.
Muziplay does not guarantee permanent and uninterrupted availability of the platform. Interruptions for maintenance may occur, of which the Student will be informed where possible.
Muziplay's total aggregate liability under these terms, whether in contract, tort or otherwise, shall not exceed the total fees paid by the User to Muziplay in the twelve (12) months preceding the event giving rise to the claim. This limitation does not apply to death, personal injury caused by negligence, fraud or fraudulent misrepresentation.

Muziplay does not guarantee the quality, competence, reliability or suitability of any Teacher. All services are provided "as is" and "as available". Muziplay makes no warranties, express or implied, regarding the educational outcomes or results of any lesson, masterclass or training project. External links provided on the platform are for information purposes only, and Muziplay accepts no liability for the content of third-party websites. Nothing in this disclaimer excludes or limits liability for death, personal injury caused by negligence, or fraud.
17. Dispute resolution
In the event of a dispute that cannot be resolved with our customer service team, the Student may seek resolution through Alternative Dispute Resolution (ADR).
Before referring the matter to an ADR provider, the Student must first attempt to resolve the dispute directly with Muziplay by submitting a written complaint.
If you are not satisfied with our response, you may refer the matter to a certified ADR provider.
18. Amendments to T&Cs
Muziplay reserves the right to amend these Terms and Conditions. Amendments will be notified to the Student by email and/or by notification on the platform. Continued use of the platform after notification constitutes acceptance of the new terms.
The provisions relating to personal data protection, limitation of liability, intellectual property, non-circumvention and outstanding financial obligations shall survive termination or expiry of these terms.
19. Governing law
These Terms and Conditions are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to the consumer's right to bring proceedings in the courts of their domicile.
